Terms of Service: Giroa LLC
Effective Date: February 27, 2025
1. Introduction
Bienvenue to Giroa! By accessing our website, using our services, or purchasing our delicious wines, you agree to these Terms of Service (these “Terms”). If you don’t agree, no hard feelings—but you can’t use our services. And remember, you must be of legal drinking age in your jurisdiction to partake in this vinous adventure.
2. Eligibility & Age Verification
Age matters, at least when it comes to wine. By using our services, you confirm that you are of legal drinking age where you live. We may ask for proof; if you can’t provide it, we’ll have to say au revoir to your order.
3. No Liability for Accuracy
Our soon-to-launch recommendation tool is like a friendly sommelier—helpful, but not infallible. We do our best to suggest great pairings, but taste is subjective! Take our advice with a sip of curiosity, not as professional guidance. Our wine recommendation tool provides suggestions based on user input and external data sources for informational purposes only and should not be considered professional advice. Giroa is not responsible for any decisions made based on these recommendations.
4. Product Sales & Order Acceptance
Placing an order doesn’t mean it’s set in stone (or oak, for that matter). All wine orders placed through our website are subject to acceptance by Giroa, and we reserve the right to limit quantities, offer a substitute (as any good host would), or cancel an order if necessary. Don’t worry—we’ll keep you informed along the way.
5. Pricing, Payments & Refunds
Wine prices, like a fine Bordeaux, can evolve. If we make a pricing mistake, we reserve the right to correct it or cancel the order. Due to the nature of our products, all sales are final unless the product is damaged or defective upon arrival.
6. Shipping, Delivery & Compliance with Alcohol Laws
Wine laws are more complicated than a sommelier’s tasting notes. We can’t ship everywhere, so contact us for more information. A valid government-issued ID and adult signature are required upon delivery. If delivery is refused due to failure to provide identification, the customer may be responsible for return shipping fees. (Sadly, we can’t leave a bottle of Merlot at your doorstep like a newspaper.)
7. Limitation of Liability, Disclaimers & Indemnification
We love wine, but we’re not responsible for what happens after you uncork it. Drinking comes with risks (and rewards), so please imbibe responsibly. By purchasing and consuming our products, you acknowledge and accept these risks. Giroa is not liable for any post-bottle decisions you may make. Any claim or legal action related to these Terms, our website or its contents or our products must be filed within one (1) year after the claim arises. You also agree to defend, indemnify, and hold Giroa, its affiliates, team, and partners harmless from any claims, damages, or costs (including reasonable attorney fees) arising from your misuse of our services or violation of these Terms. Basically, let’s all be responsible and keep things as smooth as a fine Bordeaux.
8. Intellectual Property Protection
Our content—whether it’s our site, our recommendation tool, or our impeccable taste—belongs to us. No unauthorized copying, reproduction, or use of our branding, or we’ll have to raise a legal glass against you. Unauthorized use, reproduction, or distribution of our intellectual property is strictly prohibited.
9. User Conduct & Prohibited Activities
We love a good celebration, but we don’t tolerate fraud, false information, resale without permission, or any other misconduct, including but not limited to manipulation of our recommendation tool. Violations may lead to loss of access to our services and legal action—something no wine lover wants.
10. Dispute Resolution & Governing Law
If we ever have a disagreement (let’s hope not), it will be settled in Seattle, Washington, through binding arbitration. No class-action lawsuits—just civilized resolutions, like a French countryside debate over the best vintage.
11. Privacy & Data Protection
We value your privacy and are committed to protecting your personal information. We collect only the data we need to enhance your experience—no selling it to third parties. However, we may share your personal data with third parties as necessary for order fulfillment. If you share your email, expect updates, deals, and maybe a fun fact about wine. You can opt-out anytime, but why miss out?
12. Termination & Modification of Terms
We may update these Terms from time to time—like one of our wine lists. If you keep using our services after changes, you’re agreeing to them. If you violate these Terms or applicable laws, we may have to cut you off (from our services, not your personal wine stash).
